PhpSNS License Agreement

This is a legal agreement between you and PhpSNS Systems covering your use of PhpSNS Software Modification and Plug-In ("Product"). By purchasing the Product you are consenting to be bound by this agreement. If you do not agree to all of the terms of this agreement, do not purchase any of the Products.

All Products are owned by PhpSNS Systems and is protected by United States copyright laws and international treaty provisions. Therefore, you must treat the Product like any other copyrighted material. Paying the license fee allows you the right to use 1 installation of the Product on 1 web site.

You may not copy the Software for distribution, resell, rent, lease, sublicense, convey, transfer rights, create any derivative works, or disclose modification source codes in any way. You may not copy any written materials accompanying the Software without express written authorization from PhpSNS Systems, in its original or altered state, must be in the possession of the by registered licensed company, organization or personal identity of the Software. Proofs of infringement of copyright violations include but not limited to similar code style and structures, similar layout and design, similar database design, and containing parts of the original Software source code.

You may not remove the original PhpSNS Systems copyright notice from the source of the software. Modification of the source code is granted (at your own risk), but removing the copyright notice is prohibited.

If you violate any part of this agreement your right to use the Product terminates automatically (PhpSNS Systems reserves the right to revoke the Software license at any time) and you must discontinue use of and destroy any and all copies and/or derivative works of the Products in your possession.

Technical Support And Updates

PhpSNS Systems will make available to you, free of charge, one year updates of the Licensed Product from the date of the original order. We provide lifetime online support based on our Lifetime Support Policy.

After one year, "Annual Update Subscription" for the Product can be renewed upon payment of subscription fee. The "Annual Update Subscription Fee" is nonrefundable and PhpSNS Systems reserves the right to change this fee structure at its sole discretion.

Your payment of Product's "Annual Update Subscription" is for that individual license only. You can not download updates from that license for any other license you own. Each license must be renewed individually if you want continued access to the latest versions for that license and web site.

phpFoX License Requirement

PhpSNS's modules and modifications relies on phpFoX to function, therefore PhpSNS will not work by its own. You must have phpFoX preinstalled with a valid license in order to download, install and use PhpSNS.

License Usage And Transfer

After registration, you must agree to submit the URL where the Product is being used for (or plan to use) each license. The URL can be submitted by logging into our Download area.

PhpSNS Systems may, at its own discretion, allow you to transfer your software license to another party if:

1. it is an active Product License (nonexpired Update Subscription);
2. has not already been transferred in the previous 12 months;
3. was purchased for more than 3 months in the past;
4. the whole site ownership with domain will be transfered together to another party with a valid phpFoX License.

Refunds

Refunds are based on Software failure, NOT server issues, PhpFoX bugs or lack of features. Refunds CAN NOT be issued in cases where your server is not properly installed with required environment and settings. Refunds are provided ONLY AFTER our tech has failed to assist in your installation and the Script fails to function fully as expected. PhpSNS will determine if a refund is necessary based on each individual situations. Refunds are NOT provided if you did not fully evaluated the Software demo from our demo site. Refund will NOT be available after 7 DAYS from purchase date.

Disclaimer Of Liability

PhpSNS is provided, "As Is", "As Available", and all warranties, express or implied, are disclaimed, including but not limited to the disclaimer of any implied warranties of fitness for a particular purpose. The information herein may contain bugs, errors, problems, or other limitations. PhpSNS Systems assumes no liability for any errors and omissions within the PhpSNS source code.

In no event shall PhpSNS Systems be liable to you or any third parties for any indirect, special, incidental, punitive, cover, or consequential damages, including but not limited to, damages for loss of business, loss of business profits, business interruption, or loss of business information, arising out of use or inability to use PhpSNS and based on any theory of liability including but not limited to breach of warranty.

You expressly acknowledge and agree that use of PhpSNS is at your own risk and with agreement that you are solely responsible for any damage to your computer system or loss of data. No advice or information received or obtained from the Web Sites (phpsns.com and phpsns.net), documentation, Forums, Blogs, messages shall create any warranty for PhpSNS.

Agreement Changes

PhpSNS Systems has the right to change this agreement at any time. Any changes will be posted here on the PhpSNS Systems web site and it is your responsibility to check for changes. This agreement was last updated on January 9th, 2008.
